This message usually occurs for one of three reasons:

1. You do not have administrator right to the computer and therefore
cannot overwrite files in the 'Program Files' folder

2. An Office program was open at the time you ran the installation
which locked the file (you've already stated was not the case)

3. Office was running a background process which prevented the file
swap from taking place

You can change the path of the unzip program to your Desktop and
manually transfer the file to the (C:\Program Files\Common
Files\Microsoft Shared\PROOF) folder. This should force the overwrite.


Once completed, the Mssp3Spx.DLL file should be dated 10/06/05 and be
approximately 84 kb.
