Intel E1000ce.dll for 4.2?

Hello all:
I'm trying to get this Intel-provided driver to work on my Pentium-M
/855/ICH4 cepc, which has an external 82547GI onboard (on PCI).
It enums OK, and NDIS starts init OK, but 3 layers into callstack of
E1000CE.DLL, system freezes on an INT 3.
Does this driver work for Release only, not Debug builds?? A while back, I
had similar problems with E100CE.DLL, then pitched the MB....
