Uh, no. You don't have to have 32 or even a display if you don't want to.
Will a 3D "software only" driver pass LTK ?
Well, LTK is for Windows Mobile which doesn't use CE 6 (Even WM6 uses CE
5.x, confusing yes, but true)
Are there any performance requirements for 3D ?
Faster is better! ;-) Other than that You need to consult the specifications
for whatever type of device you are making to find the requirements for it.
(Discussions of the Adaptation kits, and it's requirements etc... are
subject to NDA and not for discussions in the public groups.)

To add to what Steve said:
Windows CE 6 doesn't require 3D support.
Windows Mobile 5 and 6 (both based roughly on Windows CE 5) both
require support for Direct3d Mobile (aka D3DM). This doesn't require
hardware 3d support, and for the most part currently shipping products
use software-based 3d. Many ARM CPU silicon vendors have already
implemented optimized D3DM drivers which are available to OEMs
shipping those CPUs.
One other important point: Microsoft ships a D3DM "reference driver",
which is pixel-correct but is not designed to be performant (think
seconds-per-frame rather than frames-per-second performance). This
driver is only meant to be used for testing/validation, and OEMs are
expressly forbidden from shippig this driver as part of their
product.
