Thanx Robin,
I understand what you are explaining. My question is how do I get
Administrator priviliges to do this?

how would I get updates from microsoft then?
What MowGreen means is that you should stop the Windows Update service just
for the few seconds you need to delete the contents of the WuRedir folder,
not that you should keep it stopped for ever.
Under Vista, the service formerly known as "Automatic Updates" is called
"Windows Update". Under Vista, to perform any of these corrective
operations, you need to acquire elevated Administrator privileges - an
Administrator login account is not enough.

KB927891 is NOT INTENDED for Vista !!!
If you can not delete the contents of WuRedir or rename it, then stop
the Automatic Update service from the Services console.
Start > Run > type in
services.msc
Click OK or press Enter
There's no need to run any Command Prompts.

Thanx Rex for replying, but I neglected to inform that my op is
Vista, I "assumed" this was a Vista prob, not a XP prob also. So
when I tried at the prompt, I received access denied.

Thanx for the help it worked for me...
"Gars": I found an answer from MowGreen and made a copy in this
subject hope you find it helpful.
Show hidden files, folders, and system files:
http://www.bleepingcomputer.com/tutorials/tutorial62.html#winxp
Using Windows Explorer, navigate to
WINDOWS\SoftwareDistribution
Delete the contents of WuRedir or drag the entire folder to the
Recycle Bin IF you get a message that a file is in use by another
program, then stop the Automatic Update service by going to Start
Run > type in
net stop wuauserv
Click OK or press Enter
Restart the service after doing the above from Start > Run > type
in
net start wuauserv
Click OK or press Enter
Then download and SAVE the latest version of the Windows Update
Agent,
if it hasn't already come down via Automatic Updates :
x86 [32bit]
http://go.microsoft.com/fwlink/?LinkID=91237
Download and save KB927891 if it hasn't already come down via AU :
http://www.microsoft.com/downloads/details.aspx?FamilyId=7A81B0CD-A0B9-497E-8A89-404327772E5A
Install WUA first, then run WindowsXP-KB927891-v3-x86-ENU.exe
Restart the system and revisit Windows Update.
