I will try your sugestions today and see what happens. In answer to your
questions 1) McAfee was not a preinstalled option on my system that is 3
years old and have been doing updates regularly thru the update site.

The OS is Windows Server 2003 and it involves a driver, http.sys.

I'd bet that the issue your system is experiencing is also related to a
driver, in this case, from McAfee.
Was McAfee preinstalled on the system by Dell and was the system
previously able to successfully update via the Windows Update site ?
You stated that you " turned off the virus controls ". There are Default
settings that protect Internet Explorer, specifically, BHOs [browser
helper objects], by add-ons.
Between those and the McAfee firewall, that's the most likely place to
look for the root of the issue.
So, open Internet Options in the Control Panel, please.
Click the Programs tab
Click the Manage Add-ons button
The Manage Add-ons window will open
Set the drop down window where it says ' Show: ' to 'Add-ons that have
been used by Internet Explorer '
Click on every Name that states McAfee as the Publisher to highlight
them, then put a mark next to Disable
After you Disable each one click OK
Close Internet Properties by clicking OK.
Now try to access Windows Update
If the system is able to, then it's one of the disabled Add-ons that is
causing the issue. If not, then go back into the Control Panel
Open the Windows Firewall
Put a mark next to 'On', click OK
Now totally disable the McAfee firewall from within the program.
Restart the system and try to access Windows Update.
