How long do you wait after the window comes up?.
All control panel applets are started using rundll32. That is normal.
Since everything is downloading but hanging, disable AU from control panel:
1. Stop BITS and Automatic Updates in SERVICES.MSC
2. Delete everything in the C:\Windows\SoftwareDistribution\Download
folder.
3. Delete everything in the C:\Documents and Settings\All Users\Application
Data\Microsoft\Network\Downloader
4. Delete C:\Windows\WindowsUpdate.log
5. Start BITS and Automatic Updates in SERVICES.MSC
Try to download.
If that still fails, dow all the steps above except change Step 2 to delete
C:\Windows\SoftwareDistribution folder. Windows XP Automatic Update will
re-create it.
