Could be that the .dll is damaged. There should be a backup of it in
WINDOWS\system32\dllcache
Delete the copy in system32 and copy the one in dllcache to the system32 folder. Now see if it will reregister.

Running XP - SP2/IE7/ all attempts to re-register .dlls appeared successful but the problem remains.
