IS SP2 installed ? This update is not for XP SP2, so one has to assume that the system is still on SP1.
Have you attempted to manually download the update, closed IE, temporarily disabled the installed antivirus software, and then attempted to install it ?

Has the NetMeeting folder been moved from C:\Program Files or has it been tampered with (i.e. files deleted) ?
