dotnet 1.1 update install problem

I tried to install the critical update for dotnet 1.1

It failed with error codeE0434F4D

I then looked in the windowsupdate log and copied in what I found at the
bottom.

Can anyone help me get this update installed???

I have a AMD athlon 3000+ machine with windows XP prof installed. All other
updates have been run and I have no problems with those.
