Post SP2 error - Services.exe failed to initialize

I've intalled SP2 on a Dell 8350 running Windows XP Pro. When the system
went to reboot I rec'd an error message... The application failed to
initialize properly
(0xc00000005) Services.exe Click OK to terminate application
Unfortunately, Windows becomes unreposnsive at that point. I've tried to
last successful config and safe mode. They give the same result.
The only similiar occurance that I've seen is KB article 873155 but that was
for
Explorer.exe and my chip is Intel and I'm not running Norton. Any ideas?
