Hello David,
I got the same problem when upgrading from Windows 2000 Server Std to
Windows Server 2003 Std with SP1. But I also upgraded 6 other servers
without any problems...
I also had some problems with WMI, but I managed to fix them (rundll32
wbemupgd, CheckWMISetup).
All other services on the server are ok (at least those we use...)
Unfortunately, I have not found a solution for the TS problem...
I tried to copy the registry keys relating to Terminal Services from
another server, without results...
If anyone find a solution, I'd be glad to know!

I have a Windows 2000 Advanced Server that I need to do an in-place upgrade
to Windows 2003 Enterprise. After the upgrade finishes, the TS service does
not start. Looking deeper, it "appears" as though the service is never
upgraded, which is to say the registry entries for the service point to
C:\WINNT\system32\termsrv.exe. When I look at a Windows 2003 server, the
registry entries encapsulate TS in svchost.
I've looked at the the setuperr.log file and it has one vague saying that
setup enountered an error while trying to set system security (the parameter
is incorrect) and not registering OLE control sxs.dll and smlogcfg.dll, which
do not on the surface appear to be relevant.
Now to make this more interesting, I've tried the in-place upgrade on 2
different Windows 2000 servers and each exhibit the same problem. My fear is
that if TS is having problems during the upgrade process, what else am I
going to find down the road?
Long story short: I've been beating my head against the wall for 3 weeks
trying to figure out what's going on with no success. Anything you can
suggest would be greatly appreciated!
