I think an inplace upgrade is an option if he add's a more powerful machine, which is capable of NT4 and 2003. I did it this way and works fine.

I am close to finishing a migration from NT 4.0 to 2003. Migrating
5,000 computer, 5,000 users, and 300 servers. We created a new domain
name. There are many things to consider. Computers and servers will
need to be migrated with some tool, so the ACL's will be updated along
with joining it to the new domain. We used NetIQ DMA, but ADMT will
work just fine. A trust will need to be created. Making sure that
computers will still be able to resolve names (might need to update
the DNS suffix search list). Do you have applications or batch files
where authentication is hard-coded with the old domain? If so, you
will need to update them.

The previous company worked at did an upgrade of the NT 4.0 PDC which
worked great, but that does not appear to be an option for you.

We are migrating our domain from NT 4.0 to 2003. We are not
upgrading the NT 4.0 DC. It is not up to spec for 2003. We are
bringing in a brand new server to be the DC. The network already
has one file server already running Server 2003 and a NAS server.

My question is on procedure for doing this. SHould I create a brand
new domain on the new 2003 Server and use the migration tool to move
all accounts over? Or can I just add it to the domain as a member
server, then run forest prep and domain prep and use the domain
already in use and then migrate the accounts over to AD?

Please let me know your thoughts.
