Hi,
Yes, Windows 2003 Server can be a member server in Windows 2000 domain and
you can add Exchange 2003 to it.
I am not sure about SharePoint and Exchange on same server (maybe someone
else can provide more information about that). I know SharePoint causes
problems with some other services...
Personally I like to keep services on dedicated servers (or virtual
servers). If for no other reason then for simple restore processes...
