Replace Ailing Windows 2003 Server

We have an old server that we upgraded to Windows 2003 Server last fall. It has been dying a slow death over the past 5 months and now I have a new Dell Poweredge server and I want to replace the failing server. The old box runs wins, dhcp, dns and AD. What is the best way to bring up a new server as on the network and then down the old one when data is migrated off of it. I would love to be able to have old server (DC1) and bring in new server (DC2) and then migrate services and files to new DC2 and once done power down DC1 and have everyone log into the network as if nothing happened m-nus a few changes for public drives and such.

Recommendations ?
