I'd argue that 6 GB is enough if you don't have more than 10 or 15 users. I've been running on 6GB for a bit and its fine. But certainly, more is better.

I suspect the best way to handle this would be to do a swing migration out to different hardware, and then migrate back to the original server. It won't be completely painless, but will have fewer hiccups than any other way I can think of. Except, of course, for starting over clean. Which is what I've chosen to do in my smaller networks.

You cannot do an inplace upgrade of SBS 2003 because it's 32bit and SBS 2008 is 64bit.

and since you don't want to get new hardware, you pretty much end up flattening and starting over.

But 5 GB of RAM won't be enough. You're processors are fine. You should consider a min of 8 GB of RAM

I am currently running a SBS2003 box with Dual Xeon Quad Core 2.0 GHz CPUs
and 5GB RAM. Only 3.5 GB of RAM is recognized with SBS2003. I have SBS2008
coming in the mail via software assurance next week.

I was wondering what the best upgrade path would be to preserve my current
users, exchange mailboxes, shares, permissions, login scripts, anti virus
software, network licenses for AutoCAD, etc. Is it as simple as doing an
upgrade install where everything stays in tact, or is it going to be more
complicated? I have read about migrating from SBS2003 to SBS2008, but that
talked about using different hardware. Since my hardware under performs with
SBS2003, I want to use the same hardware I currently own.

In addition to the added support for my hardware, I want to be able to do
opportunistic TLS with exchange. Another organization we do business with
wants to do secure email with us. I figure with exchange 2007's feature of
opportunistic TLS, the configuration would be a lot easier than trying to
figure out how to make TLS work with exchange 2003 for just one domain.

I would like to do this upgrade as seamless as possible without any
additional configuration to my current client computers.

P.S. Hindsight being 20/20, I named my server 'CompanyName-SBS2003'. Am I
stuck with that name?
