OK so I need
Main office:
1x SBS
1x WS2003 R2 as file server with DFS
Remote office:
1x WS2003 R2 as secondary DC and file server with DFS
Do I need additional CALs for that?

In order to do the replication Costas is suggesting requires the implementation of DFS-R which is not included in SBS
You would have to have a File and Print server in the main office running Windows Server 2003 R2 standard as well as the Server in the remote office running Windows Server 2003 R2 standard. You could set up DFS-R between them
Another option you might consider is making the old SBS server a Terminal Server and keep it in the main office.

OK, I can make the branch server another domain controller, but how can I
establish the replication between them? Ideally without 3rd party software.
