Migrating to SBS2003 R2

Hi all,
Hope some of you find this interesting as well as pointing me in the right
direction...
This is where we are (and no one knows how we got here, since we inherited
this!). We have 20 XP Pro PCs and 2 servers.
One server is an old NT4 server which is DC for DomainFiles. (Let's call
this NT_Server). Everyone logs into this domain. The server performs simple
file serving duties and nothing else. It works well.
The other server is an even older box running SBS2003std whcih is DC for
DomainExchange. (Let's call this SBS_Server). User names and passwords are
duplicated manually on to this domain from DomainFiles. No one knowingly
logs onto this DomainExchange.
This is how we were told to install a new PC. We join the PC to DomainFiles,
then use the outlook wizard to find the exchange server, on SBS_Server, and
hook up to a mailbox. After that the user just needs to log in to
DomainFiles, and outlook sends and receives emails perfectly.
Problem...
The SBS_Server is at 100% and is dying.
Where we think we need to get to...
We would like to replace BOTH servers with an SBS2003R2. We might then take
NT_Server and rebuild it with W2003 server and join it to the new single
domain.
How best to get there...??? As always, user downtime is a critical factor in
a business that is running 24/7 (with a few gaps) at the moment. Is there
any way to avoid rebuilding user profiles? Or, if we have to, are there any
tools that will allow us to replicate the current profiles?
Niggling question...
How does the user currently authenticate to Exchange? We know if passwords
or user names get out of step between the servers, it all falls down like a
house of cards.
