I've stop all the services but the problem was still showing up.
I thought that the Exchange Database might be damaged. I made a backup of
the .edb file and start running eseutil /P (Repair)
(http://technet.microsoft.com/en-us/library/aa997215.aspx).
When it was finished I used isinteg -fix to do an integrity check and
everything was running smooth again.

I've shutdown all the AV, Spam services but MSExchangeIS keep shutting down.
I also ran a complete scan on the Server with different pakages for Spyware
and AV but the reports came back clean.
Any other suggestions?
