8. Demote and disconnect Svr S from the network.

Anything else I have to know ?

Did your company also purchase 2 Windows Server 2003 Standard OS
licenses, 1 Exchange 2003 Server license, 1 Windows Server 2003
Client Access License ( 1 for each user / device), plus 1 Exchange
2003 client access licesnse for each user?

Licensing aside, I believe you are substantially on target. There's lots of
details involved such as rehoming public folders and Recpient update
Service, etc.

You should remove exchange from a DC *before* demoting though.
