Thanks for posting here.

From the description, I understand the issue is that you can not start the
sharepoint central administration web site and receive an error message. If
I am off base, please don't hesitate to let me know.

I.Let us refer to the following steps to troubleshoot the issue:

1.please temporarily stop other website(including companyweb) and test
agian to see if it helps.

2.if issue persists,based on my research,It is most likely due to port
conflict,please refer to the following KB article.

You receive a "The process cannot access the file because it is being used
by another process" error message when you try to start a Web site in the
Internet Information Services MMC snap-in

To resolve this issue, you must use the Netstat.exe utility at the command
line to see if another process is using port 80 or port 443 or 8081.

If port 80 is not being used, you must then examine the ListenOnlyList
registry subkey on the computer that is running IIS. To do this, follow
steps in the KB article.

anyway,check the status of port 80 and 8081,make sure that port 8081 is
being used by sharepoint central administration web site,and no other
appclication used port 8081.

II.If the issue persists, please help me collect the following information
for analysis:

1.Is companyweb working fine?

2.can you access OWA and RWW?

3.Please collect the IIS metabase on the SBS server:

1). On Exchange Server, install .NET Framework Version 1.1:

2). Install MBExplorer by installing IIS 6 Resource Kit Tools:

3). Once it is installed, access it from Start, Programs, IIS Resources,
Metabase Explorer.
4). In the left pane, right click ''LM'' (under your server computer name)
to choose ''Export to file'', and then save it as IIS.mbk.
5). Compress this mbk file and send it to me for analysis. Please let me
know if there is any password on the file.

4. Please collect the IIS log

1). Open IIS MMC on RPC Proxy Server, right click Default Web Site and then
click Properties.
2). Click Website tab and then check Enable logging.
3). With ''W3C Extended Log File Format'', click ''Properties''.
4). Switch to the ''Extended Properties'', and then select to enable All
the logging Options.
5). Stop the Default Website and rename the existing IIS log files under
C:\WINDOWS\system32\LogFiles\W3SVC1.
6). Restart the Default Website and try to access Exchange via RPC over
HTTP by new Outlook profile to reproduce the problem. (Please ensure the
issue happens so that the error will recorded in IIS Log).
7). Wait for a while so that IIS Log can be synced. Go to the following
folder: C:\WINDOWS\system32\LogFiles\W3SVC1.
