First you need a backup of your data, if you had any. Then I will do the
following:
a. Go to Control Panel and remove Sharepoint 3.
b. The read this article http://support.microsoft.com/kb/829114
c. That will remove the old company web and reinstall it.
If you use SQL Server with sharepoint, I would first do the install with
MSDE and after you are succesful, I would upgrade to MS SQL Server.
After you complete all these see if all the other components work.
Everytime you reboot the system, keep a note in the Event Viewer for errors
or warnings and write them down.

I was recently asked to upgrade SharePoint 2 to SharePoint 3 and as a
result
had to install the following upgrades/packages:
1. Windows Server 2003 Service Pack 1
2. Windows SharePoint Services 2.0 Service Pack 1

4. Windows XP SP2 for Client Deployment

8. SharePoint version 3 upgrade
There were some issues during the upgrade process but these were
managed
and
I finally got the server installed with SharePoint v3.
However some other problems have arisen. The most problematic is Volume
Shadow Copy causing problems with Backup Exec, but this is beyond the
scope
of this forum and I will look for a solution to this problem else
where. I
just thought I'd mention it in cause there was a quick fix someone knew
about.
The problem which has got me completely stumped is the Monitoring and
Reporting from within the Server Management utility. After disabling
ASP.NET
version 1 (the event log was telling me the server could not run IIS
with
2
different versions of ASP.NET [EVENT ID 1062 - It is not possible to
run
two
different versions of ASP.NET in the same IIS process. Please use the
IIS
Administration Tool to reconfigure your server to run the application
in a
separate process]) I get the following error:

I have attempted to reinstall Monitoring and Alerting using the "Set up
Monitoring, Reporting and Alerting" wizard, but this fails on 3 out of
the
4
processes. The first process finishes ok.
And I get exactly the same errors when I reboot the server and check
the
Monitoring and Reporting Status page. As far as I can tell all required
services are running.
Any help would be greatly appreciated.
