OK perhaps I misunderstood you and did not realize you want to take the SBS
2000 server totally out of the picture. ADUC stands for Active Directory
Users and Computers. All you need to do is migrate the AD info to the W2K3
server and do a dcpromo and remove the W2K server.

Help me out... what is ADUC?
Why would I upgrade it to W2k3 when it is old and needs to be retired. We
have a brand new server that can serve as the DC, GC, DNS, etc server. Am
I
missing something?

Exactly Bray. Now you have a W2K server with ADUC and all you need to do
is
upgrade to W2K3. you already have the member server with Exchange 2003 on
it.

Let me make sure I understand. After the transition pack it "unlocks"
the
SBS server to a "full" version of 2000 server right? Then, I would
simply
install the new server Win2003 server into the domain, make it a PDC,
and
then demote the old server?

Here is what I would do and I'm sure Russ and kj will agree with me
here.
Stay with SBS unless you are planning on out growing the 75 user
limit.
Why
you went and purchased a copy of Exchange 2003 is beyond me. I would
have
spent the money on SBS 2003 R2 and get Exchange 2003 with it. If you
want
to
get away from SBS 2000 then it is obvious you do not want to go to SBS
2003.
Your only choice now is to go with the Transition Pack and down grade
out
of
SBS and take the SBS 2000 box and install W2K3 and ADUC.

So what options are available now if we cannot swing over to a new
domain?
