Exactly Bray. Now you have a W2K server with ADUC and all you need to do is
upgrade to W2K3. you already have the member server with Exchange 2003 on
it.

Let me make sure I understand. After the transition pack it "unlocks" the
SBS server to a "full" version of 2000 server right? Then, I would simply
install the new server Win2003 server into the domain, make it a PDC, and
then demote the old server?

you went and purchased a copy of Exchange 2003 is beyond me. I would have
spent the money on SBS 2003 R2 and get Exchange 2003 with it. If you want

get away from SBS 2000 then it is obvious you do not want to go to SBS
2003.
Your only choice now is to go with the Transition Pack and down grade out
of
SBS and take the SBS 2000 box and install W2K3 and ADUC.
