Nothing to it, really. Install Server 2k3 on a machine. Create an account
for it on the SBS Server using the add server wizard. Join it to the domain
using connectcomputer. Promote it to be a domain controller by running
DCPromo on it. Install your standalone version of SQL Server on it. Set up
whatever replication you need for SQL Server using SQL Server's tools
(outside the scope of my expertise. I know how to do this in Oracle, but not
SQL Server.)
That's it, really. And buy the necessary CALs, of course.

I don't care about the exchange, it will be in the backup, and when we
put back to business the sbs, we will restart the backup.
I don't care about the internet either.
