Merv and Allen,
Looks like my problem is solved - or at least it will be once I do the
Backup, the Transfer and make the phone call!!
Thank you both for the support, and Merv, the article has been printed and
now resides in my little reference book!!

I see Merv has supplied you with a great link you need to follow. I read
it
partly and it looks like after you transfer the licenses from hardware to
hardware you need to call to activate them again. Great article Merv. I'm
going to archieve for future references.

Allen,
the first part of your answer was right on the money! That is just
what I
want to do - remove 5 then add those 5 to the other server. When I
looked
at
the Wizard it seemed to allow the reinstall of the CALs on the old
server.
Or will it actually remove the 5 CALs so I can install them on the
other
server?

Yes. Remove 5 then add 5. Just kidding. Each SBS server has it own
License
Manager. In fact there is even a license wizard you can use to
"transfer"
licenses.

After acquiring a new company, I find that I have to 'balance' the
CALs
between two servers. Currently have 2 SBS 2003 servers - one has 15
user
CALs and the other has 5. I would like to move 5 of the CALs from
the
15
CAL
server to the 5 CAL Server. Any suggestions on how to proceed??
