So you have changed the hardware with the old registry still in place.
See: http://support.microsoft.com/?id=315539 to show the devices still
attached to the old system and you should be able to remove the old network
cards.
I have seen this where you cannot allocate an IP address if the hidden
devices have a static IP. So a NIC fails, you replace it, and you need to
access it to remove the IP address!!
You might want to go through all undetected devices and remove them, but as
usual take a system state snapshot before you start.

This was the answer I received from Microsoft when I asked how to remove
the phantom NIC in the private newsgroup.
"not a supported scenario". What a joke !! So, here I am in the public
newsgroup asking if anybody knows what Microsoft apparently doesn't.
Microsoft response:
"Since the different computer hardware has the different Hardware
Abstraction Layer (HAL), we cannot simply restore the server to a
different
hardware from a full backup. It will cause lots of issue and it is not a

1. You may try to reinstall TCP/IP and see if this makes a difference.

I have just restore a backup from a failed server to a new set of
hardware (the old one is completely dead). The new server is an A8N-SLI
deluxe motherboard that has two 1Gb NICs on board.
The build and restore process went find (slow but fine) and all the new
drivers have been installed for the new hardware. SBS Premium is setup
with NIC 1 (Nforce 4) as the internal (192.168.16.2) and NIC 2 (Marvell
88E881) as external.
The problem is when the server boots there are a number of service
failures DNS etc etc. When I finally get to logon NIC 1 has no IP
address, it says it is connected and has sent a few bytes but no IP
address. If I look at the properties page all the correct information
is there. If I go into device manager and remove the NIC and add it
again I can then put the IP address back and start all the dead
services.
BUT as soon as the box is rebooted the NIC start without its IP address.
Anybody seen this before ? any suggestions ?
