Migrate from SBS 4.5 to 2003

I need some advice on migrating a site from SBS 4.5 to SBS 2003.
I would like to convert the existing 4.5 server to a regular NT server
(without spending any extra money) so I can continue to use it as a file and
print sharing server. I need to move all the Exchange and SQL data from the
old to the new server.
My plan for Exchange is to export all the accounts in the 5.5 store then
create new account in the 2003 store then import all the data. Is this
doable and, if so, does it sound reasonable?
I'm not sure what to do about the SQL data.
Has the cheese slipped my cracker or can I get there from here?
