Upgrading SBS 2000 to SBS 2003

I am buying a new faster server to replace our old one and want to install
SBS 2003. The existing one is running SBS 2000 that was upgraded from 4.5.

The question is...can I buy a version upgrade SBS 2003 or will this only
upgrade if the old OS is installed on the server? I want to do a clean
install of SBS 2003 on the new server, but dont think I need to buy a full
box version.

I currently have 25 CALS in SBS 2000, do these migrate or do I need to
upgrade/buy these?
