CAL issue... It sounds like your AV software is scanning the license folder.
It may also be scanning other parts of the OS or apps such as Exchange.
Here is the exclude list I use (ignore the Trend bits if you're using
another AV product and the POP3 bit if your not using the POP3 Connector)...

What happens if you shut down your AV service(s) before shutting down the
server? If you have any USB devices connected to the server, you could also
try to disconnect them (safely remove hardware icon in the System tray)
before shutdown also.
