Nick,
When the server is failing with Exchange shutting down as you describe,
what do the system and application event logs indicate , is there any errors
appearing each time the issue occurs.
Secondly how much Ram do you have on the server if you have more than 1GB of
RAM you should take a look at this knowledge base article
