As to upgrading an existing SBS2000 site to SBs2003 and new hardware, one
suggestion would be to take a look at Keff's Swing Migration at
www.sbsmigration.com

As to installing SBS over XP -- my answer would be "No, buy new hardware for
the server". several reasons:
1. SBS is a server O/S, not a workstation upgrade.
2. Would I be right in guessing that the XP is also used as a workstation
from time to time? You will lose a workstation if you upgrade to SBS
3. The hardware for a workstation is generally less reliable and redundant
for a server. I sell my customers server hardware that have redundant power
supplies, Raid-5 hardware controller for redundancy in case of a disk
failure, etc.
