In regards to the Exchange question, it will not prompt you to upgrade.
You will have to run the setup program and it will detect that Exchange is
already installed. (The Install action will show a check mark). You will
then have to set the install action to "Reinstall" in order to 'upgrade' it
to the Enterprise version.
