Were there any errors reported in the setup logs.

C:\Program Files\Microsoft Windows Small Business Server\Support

If so what are the errors.

Second, was the anti virus software removed before the upgrade.
Remove the antivirus software from the server
Use msconfig.exe to stop third party progams from loading on boot.
Disable 3rd party services on the server . Then reboot the server and run
setup again.
