Re shutdown, aside from the wise questions in Henry's reply, what do you see
in the event logs? What is the output of ipconfig /all ?

Also note (perhaps OT, perhaps not):

You can speed up the shutdown time if you stop the MS Exchange System
Attendant service first. I usually do this in a command prompt -

    net stop msexchangesa <enter>
