You should go to the My Computer properties and disable the Auto-restart on
BSOD so that you can see the message if there is one. Also try adding to the
boot.ini line used for safe mode the /basevideo to see if that happens
there. Could be a driver that likes normal 32 bit mode, not safe mode.

sorta guessing at cause and options here, see if either of these get you
anywhere:
