One thing to consider: With OEM, AFAIK, the OS is tied to the original
server hardware unless you buy Software Assurance for it (and the CALs)
within 90 days. If the server needs to be replaced (fire, flood, theft,
meteorite hit, etc.), you'll need to re-purchase the OS also. Retail or
Open License purchase is not tied to the original hardware.
