I am sure you know that if they had full versions of
Windows Server 2003, and Exchange 2003, what you
have described is text book setup and solutions to
the problems you have described. Straight out of core
MCSE training materials.
The "gotcha" is they have SBS loaded at the remote
site. Big gotcha. Doubt that when installed, company
merger was told to IT person.
The one-company out of two, means there will be added
cost of the merger. Have you asked them if they had
an analysis done on the impact of Merger on the IS / IT
infrastructure and the cost of manpower and technology
for the merger? That should have been in the Business
Plan for the Merger.
