Greg was right, that the most important component that must stay constant is
the drive controller. If that changes, the old installation will not start.

But, it really is not difficult to restore the installation from backup.
If you backup the installation to tape, local disk, or network share you
will have a fall-back in case there is a problem with the hardware change.

If you are not familiar with the restore procedure:

If the SBS will not run on the new motherboard:

Do a clean new install of SBS just to point where Server 2003 is installed.
Then restore C:\
System State
Exchange

If your Exchange database is on C:\ you won't even have to retore it
separately . . it will have been backed up and restored as part of C:\ (
This was a surprise to me too, but I just did it )
