I have found this information from Joe Richards [MVP] in a different thread.

"First. R2 is simply Windows Server 2003 with SP1 built-in and some
additional option packs that were added on. When you upgrade with CD2 to
R2, you don't change any core binaries.

Second, As long as you are tracking your total licenses, there should
not be an issue with what machines are running R2 as long as the counts
are correct with the actual licenses. "


Please tell me what I am eligible to do.

below) gives graphic detail on how to upgrade an existing server, without any
mention of licensing implications. I'm confused.

Please forward this to the appropriate party in order to set my mind at ease.

Dear Support,

We are a corporation based in Macau. We have a small branch office in
Hong Kong. We would like to replicate data between our 2 sites.
Initial investigation shows that we can use the new DFS file
replication as part of the Branch Office methodology, rather than
buying a 3rd-party product. The servers at each site both are W2K3, 1
is SP1, the other has no major upgrades at all.

We have Select agreements and have the CD's for W2K R2 on site.

Is there a licensing implication if we upgrade these servers? Or is
it just counted as a version upgrade?

I have asked my reseller and MS licensing, they were not sure.
