what do you mean by NetBt shutting down? Are you saying that The driver is stopping? Is name resolution stoping or connections to shares on or off this machine?
Can you post the output of: net config rdr net config srv nbtstat -n
when you get into this state?

I have a Windows 2003 network and over the past couple of weeks have
experienced a problem with the TCP/IP Netbios Helper Service, which keeps
shutting down. This problem seems to be caused by the fact that the Netbios
over Tcpip device (NetBT) keeps failing or shutting itself down. This
network's run very smoothly for the past couple of years. Any ideas on what
could be causing this?
