Replacing Win2000 Domain controllers

Hello. I've been reading a lot of posts about migrating Active
Directory, upgrading domain controllers from Win2000 to Win2003, and
on and on. I haven't been able (yet) to weed out exactly the info that
applies to my scenario so thought I'd post this question to see if
someone could give me some "simple" guidance.
Here's what I have:
Two Win2000 servers acting as domain controllers running Active
Directory.
We have appx 65 users.
We have 2 other servers (not domain controllers) running Win2003
server...one is a file server and one is an Intranet server.
Here's what I want to do:
Remove one of the Win2000 domain controllers.
Replace it with the Intranet server running Win2003 as a secondary DC
Remove the primary DC and replace it with a New box running Win2003
Enterprise.
(both the current primary and secondary DC's are old boxes heading for
the recycle bin)
My questions are:
What would be the best order for the simplest migration?
What steps (and in what order) should I take to accomplish the task?
My thinking is:
Setup the new server and integrate it as "just a server" in the
domain.
Demote the secondary DC and remove it from the network.
Prep the primary DC for Win2003 domain.
Promote the Intranet server to be the secondary DC
Run AD migration toolkit
Demote the primary DC and remove it from the network
Promote the new server to be the primary DC.
Would the above work or can anyone suggest a better order?
