I would suggest updating the schema for Win 2k3.
Add the Win 2k3 server to the domain as a member server and run dcpromo to make it a DC.

At this point you will have 2 DCs in the domain with all AD info replicating between them. I would assume the old server has DNS on it, make the DNS zone AD integrated and install DNS on the Win 2k3 server and the DNS info will replicate to the Win 2k3 DC.

Personally I would probably move the files to the new Win 2k3 server to spread out the work between the two servers and leave DHCP and DNS alone, then upgrade the old Win 2k DC to Win 2k3. I wouldn't remove the old DC.

You would end up with DNS and DHCP on the upgraded (or not) Win 2k DC. Files would be on the new Win 2k3 DC. Then you can spread out the FSMO roles according to best practices.

I have a old server that runs on win2k and is the DC, DHCP and file
server.
As the machine is very old we decided was time for a update, and now we
have a new server with win 2003 server installed.

My question is, how to migrate the old DC to this one, users acounts,
DHCP settings..why out having to change anything in the local user
computers in the end.

For the Local policy I would not want to transfer any settings, as the
one is configured is now working properly and I want to set up this
part from beggining.
