Sorry, I misunderstood your problem.

Yes, DFS consolidation roots must run one of the following operating
systems:
Windows Server 2003, Enterprise Edition
Windows Server 2003, Datacenter Edition
Windows Storage Server 2003, Enterprise Edition.

It is true and I mean FSMT can run on Windows Server 2003 family.

DFS Consolidation Root Wizard and Dfsconsolidate.exe Requirements

The DFS root server that hosts DFS consolidation roots must run one of
the
following operating systems:
Windows Server 2003, Enterprise Edition
Windows Server 2003, Datacenter Edition
Windows Storage Server 2003, Enterprise Edition.

while it is true that the Source and destination servers only need to be
Std. Edition. Thus, if I don't have any Enterprise Servers per this
document
I can't use it but you indicate I can.

I just read that you had to have Win Server Enterprise for DFS to
work.
Given that I indicated we are using Win Server 2003 R2 Std. Edition
on
our DC
and will be the version on the planned File and Print Server is the
answer

We are planning an upgrade of our File and Print Server to
Windows
Server
2003 Std. Edt. R2 and I have a couple of questions.

Environment Details

File Server: Windows Server 2000 (Fully Patched)
New File Server: Windows Server 2003 Std. Edt. R2
Our Domain Controllers are Win Std Edt. R2

We currently have a DFS root hosted on the Domain Controller that
has
a
root
currently currently used by another File Server that is Win 2003
Std.
R2

Question:

1) Can we use the FSMT tool to migrate our existing File and
Print
server
given that we are currently using DFRS in our environment with an
existing
Root.

2) Will NTFS and shared folder permissions be transferred using
this
tool
under this design.

3) In AD we point each user account to a 2 path unc design
\\contoso\username since the user folder is shared under contoso.

Will
this
tool account for this mapping?

4) Does Printer Migration Utility 3.1 work under this planned
environment?
