Hi,

I suggest you put the Windows 2003 server into the existing domain and
promote it to DC. Check following article:

How to upgrade Windows 2000 domain controllers to Windows Server 2003
http://support.microsoft.com/default.aspx?scid=kb;en-us;325379

Regarding DNS, you can build the new DC as DNS server and perform zone
replication.

Regarding dhcp migration, check following article:

325473 How to move a DHCP database from a computer that is running Windows
NT Server 4.0, Windows 2000, or Windows Server 2003 to a computer that is
running Windows Server 2003
http://support.microsoft.com/default.aspx?scid=kb;EN-US;325473

Hope this helps.

Best regards,
