Existing 2000 DC and 2003 file server - migration and licensing questions



I walked into a situation where there are some existing servers, and
everything in the place is a mess.

***here is the situation I have:

Server 1 is a 2000 Server Domain Controller. It is running DNS and DHCP, and
the licensing service, and that's pretty much all it's doing. This thing is
old and slow and probablty close to death and I really want to get rid of
it.

Server 2 is a really nice new server running 2003 but it's set up as just a
member of the domain and not as a second DC.


***What I want to do is:

-Promote the 2003 to be a DC
-Move DNS and DHCP over to the 2003 server
-Retire the 2000 server

What are the pitfalls to doint that?


***What I'm mostly worried about:

The licensing server running on the 2000 DC, and accessible from the 2003
server shows 50 "per server purchased" cals for "Windows Server" and 0 cals
of any type for "Microsoft Backoffice". I normally only deal with SBS
servers, so I am not at all familiar with licensing on the full 2000 or 2003
servers - which seems to be different. On SBS you have to insert a floppy
(2000) or add an activation code (2003) to add licenses, on this setup, it
seems that I can add or subtract licenses and it just takes my say so.

If I successfully get all the sevices and AD moved over to the 2003 server,
what is going to happen with licensing? Am I going to need to buy new
licenses for 2003? Or will the 50 CAL's migrate over to the 2003 server
somehow?
