I agree with Barundi that you need to run adprep in the second CD.

You can verify the operating system support level of the schema by looking
at the value of "System Schema Version" registry key on a domain controller
located in
HKEY_LOCAL_MACHINE\System\CurrentControlSet\Services\NTDS\Parameters

You can also verify by looking at the objectVersion attribute within the
properties of cn=schema,cn=configuration,dc=<domain> partition by using the
Adsiedit.exe utility or the Ldp.exe utility .


"System Schema Version" and objectVersion values and corresponding OS
support level (values are in decimal):
13=Microsoft Windows 2000
30=Microsoft Windows Server 2003 RTM and Microsoft Windows Server 2003
Service Pack 1 (SP1)
31=Windows Server 2003 R2

Is it Windows 2003 Enterprise R2. One this one you have to run the
adprep tool from CD-2. I had the same issue.
