Here in where the problem lies.
I added the key as suggested here and the utility still migrates files.
As I meantioned I was troubleshooting with regmon to see if the correct keys
where being read and regmon indicates all other registry key option
parameters are read except it does not try to read the MigrateDirsOnly key.

In short the MigrateDirOnly registry option does not work.
HKLM\System\CurrentControlSet\Services\MSDSS\Parameters\File Migrate Options

As far as I know Services for netware 5.03 SP2 is the newest version
utility. I suggest you change the registry key manually. Please refer to
the following information.

Value name: MigrateDirsOnly
Default value: 0
Description: Set this value to 1 to migrate only the directory structure
and directory level ACLs. The file data can then be copied into the
directory
structure by an external method such as RoboCopy or a backup\restore
process. Files copied into the directory structure will inherit ACLs from
the parent
directory.
