Migrating Shared Folders, NW to MS

I am ready to start moving users from a Netware file server to a MS
Server2003 file server. Currently there are about 50 folders (directories)
under the root drive of the volume on the Netware server. In Netware the
Admin adds a directory at which users have no rights. The admin then adds
users or groups and assigns security that is appropriate.
MS uses "shares" and also has NTFS permissions, a combination of concepts
that still confuse me. I want to setup the MS file server to appear as
closely as possible as the NE server does to the users. Should I setup a
share and then add all the directories under that and setup security and
permissions?? Any individual users should only have the ability to see
folders that they have a need to see, and then some will be Read Only and
others Full Control.
Currently I have a NW "Data" volume, I have setup my MS server with a
seperate logical drive; "D" and named it "Data". Now I need to add the 50+
folders on that D drive and assign groups and users the same level of access
as they currently have.
I will not be migrating anything, I will be having a phased approach where
individual folders will be moved from one OS to the other over time. Users
will have access to folders on both systems but obviously any particular
folder will only be accessible from one system at a time.
Any advice or guidance on setting up a file server and security assignments
for users?
