According to the message, I understand that you want to migrate to
Exchange2k3 environment and upgrade the existing win2k DCs to win2k3. Is
this correct?

Please understand that this newsgroup mainly focus on the migration of the
Windows part. As for the Exchange part, I would like to suggest that you
post in the microsoft.public.exchange.setup newsgroup since they are the
experts in Exchange and will provide the most accurate information on this
issue.

As for the Windows part, since you want to in-place upgrade the existing
win2k DCs, the process is as follows:

1. Perform a full backup before you take any action.

2. Run "ADPREP /FORESTPREP" and "ADPREP /DOMAINPREP" to upgrade the
existing Windows 2000 forest and domain to ensure that they contain the
additional objects, attributes and permissions necessary to support the
Windows Server 2003 Active Directory environment.

3. Perform an in-place upgrade.

In addition, I would like to suggest that you perform Exchange migration
first. Please do not install Exchange2k3 on a DC, this will bring up
certain issues.
