NT4 to W2K3 Migration

I reposting my question again with some extra.

We have a two domain (dom1 and dom2) network with one NT40 server (PDC) and
(BDC) at each site plut nt and 2000 standalone server. Both domain are
configured
to trust each other. The reason for two domain is because of two different
companys
in one group. Our registed domain name with isp is maxis.com.my for example.

Our network Users are using windows nt 4.0 workstation, windows 2000 pro
and xp pro client.

We are also running exchange 5.5 and sql 7.0

I can create two child domains in Windows 2k/2k3. Then you can use
ADMT to migrate the original two Windows NT to the two child domain
separately and also use ADMT migrate the users and computers account to the
new child domain. However, the NT PDC cannot be available in this scenario
right?

Question

1. What will be the impact or expected problem if the NT PDC is not
avalaible?

2. Do I have reregister all the workstation and servers to the new child
domain and also
change all the windows services accounsts?

3. Just say I migrated all the users and server/pc accounts from "DOM1" to
the new child domain and migrate "DOM2" later, can I have trust between
"dom1"
child domain and the NT "DOM2". Because our internet "ISA SERVER"/ mail
gateway is located at "DOM1".

Hope someone can help me with this question.

Thanks
